These General Terms of Use (hereinafter the "General Terms") describe the conditions under which Webagenceo provides access to its services and platform, as well as the rights and obligations of advertisers, affiliates, and Webagenceo. Registering on the Webagenceo site as an advertiser or affiliate implies full and complete acceptance of these General Terms, which have contractual value. By clicking the "I accept" button, you confirm that you accept all provisions of these General Terms. If you do not accept these General Terms, you may not register on the Webagenceo platform or use our services. We reserve the right to amend these General Terms by publishing the new version on our site. Changes take effect 30 days after being published online and after an email is sent to registered members. During this 30-day period, you may notify us that you refuse the changes. This agreement will then end at the close of the 30-day period.
Article 1: Purpose
Webagenceo has created an affiliate platform that connects affiliates, owners of websites with advertising space, and advertisers wishing to display advertising on affiliate sites. This platform allows affiliates to display visual elements and hyperlinks (hereinafter "Advertising Campaigns" or "Campaigns") on their sites, pointing to advertisers' sites, thereby allowing visitors to affiliate sites to be redirected to advertisers' sites, according to the conditions and terms defined by the latter (hereinafter "Affiliate Program"), subject to acceptance of the affiliate's application by Webagenceo, and in exchange for remuneration. Indeed, the advertiser pays the affiliate, through Webagenceo, based on the results generated by the affiliate.
It is up to advertisers to set up their Affiliate Programs and Advertising Campaigns, in exchange for payment, and subject to acceptance of the advertiser's application by Webagenceo. Depending on the Programs, links may point to a product, a service, a form, a homepage… Webagenceo:
- Handles the recruitment of advertisers and affiliates;
- Enables, via its affiliate platform, an advertiser site and an affiliate site to be connected — the former wishing to display advertising on the affiliate's site to promote its products and/or services and grow its site traffic, visits, sales…; the latter wishing to display advertisers' Advertising Campaigns on its site, in exchange for remuneration;
- Ensures, via its software, the recording of transactions carried out with the advertiser by a visitor of the affiliate's site, as well as the calculation of commissions owed to the affiliate, and receives a commission on the results generated by the affiliate.
Webagenceo does not intervene in the transaction between advertisers and affiliates. Webagenceo, a mere intermediary, does not personally ensure performance of the contract entered into between the advertiser and the affiliate, and does not guarantee the successful completion of the transaction between them. For the purposes of these terms, the following terms shall have the meaning given to them by the definitions set out below:
Article 2: Conditions for accessing the Webagenceo platform
2.1 / Registration process
To become a member of the Webagenceo affiliate platform, the advertiser and/or affiliate wishing to join the Webagenceo platform must first:
- Fill out the registration form available online;
- Accept these General Terms.
Electronic validation of the registration form results in unreserved acceptance of these General Terms. When registering on the site via the online registration form, the advertiser and/or affiliate undertakes to provide complete, accurate, and truthful information and undertakes to inform Webagenceo without delay of any change to such information.
2.2 / Eligibility conditions
To become a member of the Webagenceo affiliate platform, the advertiser and/or affiliate must:
- Be of legal age;
- Be a natural or legal person — a commercial, industrial, or craft business;
- Own a website intended for the public;
- Comply with applicable law, including but not limited to:
- The provisions of the French Law for Confidence in the Digital Economy of 21 June 2004;
- Distance-selling regulations and applicable law regarding contracts concluded with consumers;
- Applicable advertising law;
- Applicable personal-data-protection law;
- Applicable intellectual-property law.
In general, the advertiser and the affiliate represent that they carry out their activity in compliance with all applicable legislation. Webagenceo reserves the right to refuse registration of any site that does not meet the above conditions, or that is contrary to public order or public morals, or that could harm its brand image, or whose content generally violates applicable laws or regulations.
2.3 / Effective date of this agreement
Registration of the advertiser and/or affiliate takes effect once Webagenceo accepts the application — that is, once the advertiser and/or affiliate receives a confirmation email.
Once Webagenceo has accepted the advertiser's application, the advertiser may publish its Affiliate Programs and Advertising Campaigns via the Webagenceo platform.
Once Webagenceo has accepted the affiliate's application, the affiliate may access the Webagenceo affiliate platform and take part in the Affiliate Programs published by advertisers.
The username and password allow the advertiser and/or affiliate to access their account on the Webagenceo platform. The username and password are personal and confidential. The advertiser and/or affiliate must keep their username and password confidential and is solely responsible for any use made of them in the event of loss, theft, or use by a third party.
In the event of loss or theft, the advertiser and/or affiliate undertakes to notify Webagenceo without delay.
